In 1981, the Government established us under the Korea Telecom Act to operate
the telecommunications services business that it previously directly operated.
Under the Korea Telecom Act and the Government-Invested Enterprises Management
Basic Act, the Government exercised substantial control over our business and
affairs. Effective October 1, 1997, the Korea Telecom Act was repealed and the
Government-Invested Enterprises Management Basic Act became inapplicable to us.
As a result, we became a corporation under the Commercial Code, and our
corporate organization and shareholders' rights were governed by the
Privatization Law and the Commercial Code. Among other things, we began to
exercise greater autonomy in setting our annual budget and making investments in
the telecommunications industry, and our shareholders began electing our
directors, who used to be appointed by the Government under the Korea Telecom
