We were incorporated in Brazil under Brazilian law on November 10, 1981 as
Companhia Brasileira de Distribuição. Our principal executive offices are
located at Avenida Brigadeiro Luis Antonio, 3,142, CEP 01402-901 São Paulo, SP,
Brazil (telephone: 55-11-3886-0421). Our agent for service of process in the
United States is CT Corporation, 1633 Broadway, New York, New York, 10019.
We have been a pioneer in the Brazilian retail food industry, opening our first
store, a pastry shop, in 1948 in the city of São Paulo under the name Pão de
Açúcar. We established one of the first supermarket chains in Brazil, opening
our first supermarket in 1959, and opened the first hypermarket in Brazil
in 1971.
Brazilian economic reforms implemented in 1994, including the introduction of
the real as the Brazilian currency and the drastic reduction of inflation
