We are a publicly-traded Delaware limited partnership, formerly known as Atlas
Pipeline Holdings, L.P. (NYSE: AHD). Our wholly-owned subsidiary, Atlas Pipeline
Partners GP, LLC ("Atlas Pipeline GP"), a Delaware limited liability company, is
the general partner of Atlas Pipeline Partners, L.P. ("APL"), a publicly-traded
Delaware limited partnership (NYSE: APL).
As of December 31, 2010, our cash generating assets consisted solely of our
interests in APL. APL is a leading provider of natural gas gathering, processing
and treating services in the Mid-Continent and Appalachia regions. Our interests
in APL consist of a 100% ownership in Atlas Pipeline GP, its general partner,
which together with us owned at December 31, 2010:
